Business Associate Agreement

HIPAA-aligned BAA for eligible enterprise customers.

This Business Associate Agreement ("BAA") template describes how James AI Tech LLC ("Business Associate") may handle Protected Health Information ("PHI") on behalf of an eligible covered entity or business associate customer ("Covered Entity") when a signed BAA is executed under an enterprise agreement.

1. Eligibility

A BAA is available only to enterprise customers whose use of James involves PHI as defined by HIPAA and who execute a written BAA with James. Self-serve consumer plans are not covered by this BAA unless expressly stated in a signed order.

2. Permitted uses and disclosures

Business Associate may use and disclose PHI only to perform Services under the underlying agreement, as required by law, or as authorized in writing by Covered Entity.

3. Safeguards

Business Associate will implement administrative, physical, and technical safeguards designed to protect PHI consistent with applicable HIPAA Security Rule requirements for the Services scope.

4. Subcontractors

Business Associate will ensure subprocessors that create, receive, maintain, or transmit PHI on its behalf agree to restrictions and safeguards substantially similar to those in the executed BAA.

5. Breach notification

Business Associate will notify Covered Entity of a breach of unsecured PHI without unreasonable delay and in accordance with applicable law and the executed BAA.

6. Access, amendment, and accounting

Business Associate will support Covered Entity's obligations to provide access, amendment, and accounting of disclosures of PHI as described in the executed BAA and applicable regulations.

7. Term and termination

Upon termination, Business Associate will return or destroy PHI where feasible, subject to legal retention requirements documented in the executed BAA.
